Terms and Conditions
Last updated October 12, 2026
These terms apply to your use of omnishelf.com (the "Site"), which is operated by Omnishelf Inc. ("Omnishelf", "we"). By using the Site or submitting the application form, you agree to them. If you do not agree, please do not use the Site.
If you use the Site for a company, you agree to these terms for that company and confirm that you are authorized to do so. "You" then means that company.
What the Site is
The Site describes Omnishelf and lets brands apply to sell through it. It is for businesses, and it is for information only. It is not an offer, and nothing on it creates a contract for Omnishelf to provide services.
These terms cover the public Site only. The Omnishelf platform, including everything behind Log in, is governed by the separate written agreement between each seller and Omnishelf (the "seller agreement"). Once you have a seller agreement, its terms on governing law, courts or arbitration, and liability apply in place of the ones here to every dispute connected with the commercial relationship. That includes any claim about statements made on the Site or by us before you signed. If these terms and a seller agreement conflict, the seller agreement controls.
Applying
Submitting the application form asks us to consider your brand. Applying is free and does not commit you or Omnishelf to work together. We may take an application forward, decline it or ask for more information, and the decision is ours. You become an Omnishelf seller only when you and Omnishelf enter into a seller agreement. That agreement, not these terms, governs the commercial relationship, including fees.
You confirm that the information you submit is accurate and that you are entitled to apply for the company you name. Applying does not create a confidentiality obligation, so please keep trade secrets out of the form.
Statements on the Site
The Site is marketing material. Product screens and the data in them are examples, not real orders, payments or customers. The only promises Omnishelf makes about its services, timing, results and pricing are the ones written in a seller agreement. You are not relying on any statement on the Site.
Third-party names and links
Retailer and customer names and marks shown on the Site belong to their owners. Retailer names and marks describe where we sell. No retailer sponsors or endorses Omnishelf or the Site. We are not responsible for websites that we link to but do not control.
Acceptable use
Do not use the Site to break the law, to submit false or misleading information or an application you are not authorized to make, to interfere with the Site or its security, or to send harmful code.
Our content
The Site's text, design, graphics, logos and code belong to Omnishelf or its licensors. You may view the Site and share links to it. You may not copy or reuse its content, or use our name or logo, except as the law allows or with our written permission.
Privacy and communications
Our Privacy Policy explains how we handle the information you give us and how the Site uses cookies. We may communicate with you by email, and where the law requires a notice "in writing", an email counts.
No warranty
The Site is provided "as is" and "as available". To the extent the law allows, Omnishelf makes no warranties about the Site, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Limit of liability
This section is about the public Site only. What Omnishelf owes a seller is set by the seller agreement.
To the extent the law allows:
- Omnishelf, its affiliates, and their officers, employees and agents are not liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, revenue or data, arising out of or relating to the Site or these terms.
- Because the Site is free to use, the total liability of Omnishelf, its affiliates, and their officers, employees and agents for all claims arising out of or relating to the Site, anything stated on it, or these terms is limited to US$100 in aggregate.
These limits apply to every kind of claim, whether in contract, tort (including negligence), misrepresentation, statute or otherwise. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct.
Changes
We may change the Site or these terms. A new version applies from the day we post it here with its date, except that a material change takes effect 30 days after posting and does not apply to disputes that arose before then.
Governing law and disputes
These terms, and any dispute or claim arising out of or relating to the Site, anything stated on it, or these terms, are governed by the laws of the State of New York, where Omnishelf has its principal office. Rules that would point to another place's law do not apply.
Any such dispute or claim must be brought in the state or federal courts located in New York County, New York, which have exclusive jurisdiction. You and we consent to personal jurisdiction and venue in those courts.
Once you have a seller agreement, disputes connected with the commercial relationship follow that agreement instead, as set out under "What the Site is".
General
These terms are the whole agreement between you and Omnishelf about your use of the Site. The Privacy Policy is a notice about how we handle information and is not part of these terms. If a court finds part of these terms unenforceable, the rest stays in effect. If we do not enforce a term right away, we can still enforce it later.
